Lowfied - terms of Use

This terms of use agreement (the "terms") governs your use of the website of Lowfied Partnership Firm. ("lowfied", "we" or "us" ), including, without limitation, www.lowfied.com (collectively, the "website" or “platform” or “service”), lowfied's digital applications (each, "web app" or “app”), and any services and resources available or enabled via the website or web app or app and associated software made available through the website and apps (collectively, with the website, the "service"). By accessing or using the service, you agree that you have read and understood, and, as a condition to your use of the service, you agree to be bound by, this agreement (as hereinafter defined). If you are not eligible (see below), or do not agree to the terms, then you do not have our permission to use the service and you may not access or use the service.
Introduction and Eligibility
Please read these Terms of use carefully before accessing or using our website. By accessing or using any part of the website, you agree to be bound by these Terms of use. If you do not agree to all the terms of use and conditions of this agreement, then you may not access the website or use any services. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes. If these Terms of use are considered an offer, acceptance is expressly limited to these Terms of use.
1. Revisions to the Agreement
We reserve the right to change the agreement at any time, in our sole discretion. please check these terms periodically for changes. when changes are made, Lowfied will make a new copy of the agreement available on the website, or otherwise posted through the services. We will also update the "last updated" date at the top of the agreement. Any changes to the agreement will be effective immediately for new and existing users of the service and on the stated effective date for existing users (collectively, "users"). Lowfied may require you to consent to the updated agreement in a specified manner before further use of the service is permitted. In the event you do not agree to any change(s) after receiving such notice thereof, you must stop using the service. Otherwise, your continued use of the service constitutes your acceptance of such change(s).
2. Eligibility
You must be at least 18 years old to use the Service. By accessing or using the Service or otherwise agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your use of the Service is in compliance with any and all applicable laws and regulations. If you are an individual representative of an entity, organization, or company, you represent and warrant that you have authority to bind such entity, organization, or company to the Agreement.
Service
1. General
This website is owned and operated by Lowfied. Throughout the site, the terms “we”, “us” and “our” refer to Lowfied. Lowfied offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By visiting our “site” / accessing our “web app” or “app” or “website” or “platform” and/ or purchasing something from us/ or selling and licencing the beats/instrumental/track/song on our platform, you engage in our “Service” and agree to be bound by the following terms and conditions. These Terms apply to all users on the platform, including without limitation users who are browsers, vendors, customers, buyers, sellers, merchants, viewers and/ or contributors of any content.
The Service(s) offers a platform designed to provide you with resources to connect, learn, perform, enhance music creation and collaboration, allow you to sell and licence or buy anything from our platform. The Service(s) are owned and operated by Lowfied, and the visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Service provided by Lowfied are protected by intellectual property and other laws. In addition to the foregoing, all information, data, text, software, music, sound, photographs, graphics, video, messages, tags and/or other materials included and made available to you by Lowfied in the Service are the property of Lowfied or its third-party licensors (the "Lowfied Property"). You may only use the Lowfied Property as provided herein, and Lowfied reserves all rights to the Lowfied Property not granted expressly in these Terms
Lowfied may release new features, resources, or tools on the Site. Any new features, resources, or tools will be subject to these Terms and any updated version of these Terms as the case may be.
Lowfied aim to extend the exposure of existing/new/emerging artists beyond traditional self-promotional means. We provide a platform for artists to share, interact, and collaborate, including the uploading, remixing (specific eligible samples provided by Lowfied only), sharing, selling, and licensing of music/beats/sounds/instrumentals/tracks. Users acknowledge that Lowfied serves solely as a conduit for artist connectivity. Lowfied holds no authority over agreements established between users on the platform. Thus, any engagements resulting from platform utilization are at the sole risk of the involved parties.
2. Lowfied Property
Unless specifically authorized in writing by Lowfied, including within the Service (e.g. for versions of Lowfied Contest that can be used commercially), we grant you permission, subject to this Agreement, to access and use the Service and the Lowfied Property, solely for your personal purposes, at our discretion. Any use beyond this scope is expressly prohibited.
3. Lowfied Contests
3.1 General: Lowfied will be organising “challenges” or “contests” and will be open to all eligible participants according to the terms of this agreement. By submitting content to the Challenge, participants grant Lowfied an irrevocable, worldwide, perpetual, exclusive, royalty-free license to use, reproduce, distribute, display, and perform the submitted content for any purpose, including but not limited to promotional, marketing, and advertising activities.
3.2 Guidelines: Content must adhere strictly to challenge guidelines, including no plagiarism, minimum age requirement, mandatory use of provided samples by Lowfied, no use of copyrighted material not owned or licensed by the participant, compliance with specified song duration, format requirements, and prohibition of explicit or illegal material and more updated version of these guidelines provided in the hyperlink here or above.
3.3 Content Submission: Lowfied reserves the right to disqualify, remove, ban any participant who violates these terms and conditions or engages in any fraudulent, unethical, or inappropriate conduct as determined by Lowfied in its sole discretion.
3.4 Limitation of Liability: To the fullest extent permitted by law, Lowfied shall not be liable for any damages, losses, or claims arising out of or in connection with participation in the Challenge, including but not limited to direct, indirect, incidental, consequential, or punitive damages.
3.5 Amendments: Lowfied reserves the right to add to, modify, or amend these terms and conditions at any time without prior notice. Participants are responsible for reviewing the terms and conditions periodically for changes.
4. Products or Services
Lowfied may add/remove a new product or service on the platform without prior notice, solely at our discretion. Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
We reserve the unilateral right, though not the obligation, to restrict the sale of our products or services to any individual, geographic area, or jurisdiction. We also reserve the right to limit the quantities of any products or services offered by Lowfied. All descriptions of products or services, including pricing, are subject to alteration at any time without prior notice, solely at our discretion. Lowfied retains the right to discontinue any product or service at any time without liability. Any offer for a product or service presented on the Lowfied platform is void where prohibited by law. We provide no warranty or guarantee regarding the quality of any products, services, information, or other materials purchased or obtained through Lowfied. Furthermore, we do not warrant that any errors in the service will be rectified, nor do we guarantee that any products or services acquired will meet the user's expectations.
Lowfied may utilize third-party applications to enhance user experience. Users acknowledge and agree that Lowfied may provide access to third-party tools over which Lowfied neither monitors nor has any control or input. Users further acknowledge and agree that Lowfied provides access to such tools 'as is' and 'as available,' without any warranties, representations, or conditions of any kind, and without any endorsement. Lowfied shall have no liability whatsoever arising from or relating to the user's use of optional third-party tools.
5. User Comments, Feedback and Other Submissions
If, at our request, you provide specific submissions (such as contest entries) or, without a request from us, you submit creative ideas, suggestions, proposals, plans, or other materials, whether online, via email, by postal mail, or otherwise (collectively referred to as 'comments'), you hereby grant Lowfied an unrestricted, irrevocable, perpetual, royalty-free, worldwide license to edit, copy, publish, distribute, translate, and otherwise use, in any medium, any comments forwarded to us. You acknowledge and agree that Lowfied is not obligated: (1) to maintain any comments in confidence; (2) to provide compensation for any comments; or (3) to respond to any comments.
We reserve the right, but are not obligated, to monitor, edit, or remove content that we determine, in our sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party’s intellectual property or these Terms of Service
You warrant and represent that your comments will not violate any third-party rights, including copyright, trademark, privacy, personality, or other personal or proprietary rights. You further warrant and represent that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, nor will they contain any computer virus or other malware that could affect the operation of the Service or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. Lowfied assumes no responsibility and shall have no liability for any comments posted by you or any third party.
Conduct, Policies & miscellaneous
1. Errors, Inaccuracies and Omissions
From time to time, there may be information on our site or within the Service that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. Lowfied reserves the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information within the Service or on any related website is inaccurate, at any time and without prior notice, even after an order has been submitted.
Lowfied undertakes no obligation to update, amend, or clarify information within the Service or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied within the Service or on any related website should be interpreted as indicating that all information within the Service or on any related website has been modified or updated.
2. Prohibited Uses
In addition to other prohibitions as set forth in the Terms of Service, users are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate Lowfied's intellectual property rights or the intellectual property rights of others; (e) to engage in behavior such as harassment, abuse, insult, harm, defamation, slander, disparagement, intimidation, or discrimination based on protected characteristics such as gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to provide false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that may impact the functionality or operation of the Service or any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to engage in activities such as spamming, phishing, pharming, pretexting, spidering, crawling, or scraping; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. Lowfied reserves the right to terminate a user's access to the Service or any related website for violating any of the prohibited uses.
3. Disclaimer of Warranties; Limitation of Liability
We do not guarantee, represent, or warrant that your use of the Lowfied service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You acknowledge and agree that Lowfied may, from time to time, remove the service for indefinite periods or cancel the service at any time, without prior notice to you.
You expressly agree that your use of, or inability to use, the Lowfied service is at your sole risk. The service, and all products and services delivered to you through the service, are provided 'as is' and 'as available' for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no event shall Lowfied, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the Lowfied service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, Lowfied's liability shall be limited to the maximum extent permitted by law.
4. Severability
In the event that any provision of these Terms of Use is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
5. Termination
Lowfied reserves the right to terminate or suspend any user account that violates these Terms of Use. Such violations include but are not limited to: (1) engaging in unlawful activities; (2) breaching any provision of the Terms of Use; (3) infringing upon the intellectual property rights of others; (4) engaging in abusive, harassing, or otherwise harmful behavior towards other users or Lowfied staff; (5) attempting to interfere with the proper functioning of the Lowfied platform; (6) providing false or misleading information during account registration; (7) engaging in any activity that could compromise the security or integrity of the Lowfied platform. Users may also choose to terminate their account at any time by either deleting their account or by contacting Lowfied support. Upon termination of an account, all rights granted to the user under these Terms of Use will immediately cease. Lowfied reserves the right to retain and store user data and content, including but not limited to transaction history, for a reasonable period following account termination, as necessary for legal or compliance purposes.
Lowfied shall not be liable to any user or third party for any termination of account, suspension of access, or restriction of services, regardless of the reason for such action. Users acknowledge and agree that Lowfied's decision to terminate or suspend an account shall be final and binding. Lowfied shall not be obligated to provide any compensation, refund, or reimbursement to users whose accounts are terminated or suspended, except as may be required by applicable law.
6. Governing Law
These Terms of Use and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of New Delhi, India, Court.

Entire Agreement
